Businesses operating across multiple countries often deal with transactions between related companies. These transactions may include management fees, intercompany loans, royalty payments, shared services, and the purchase or sale of goods between group entities.
Although these arrangements support everyday business operations, they can create complex tax responsibilities. Companies need to ensure that their related-party transactions follow applicable transfer pricing rules and that their pricing arrangements are properly documented.
Choosing the right adviser is therefore an important decision. Experienced transfer pricing firms can help businesses review intercompany transactions, assess tax risks, prepare documentation, and understand their responsibilities in different jurisdictions.
For companies operating in the Netherlands, selecting an adviser with knowledge of Dutch tax regulations and international business structures can make a significant difference.
This guide explains what businesses should consider when choosing a transfer pricing firm, which services to look for, and how to evaluate the right provider.
A transfer pricing firm helps businesses manage the tax implications of transactions between related companies.
Under the arm's-length principle, relevant transactions between associated enterprises should generally reflect the conditions that independent businesses would agree to under comparable circumstances.
For example, a Dutch BV may receive management services from its parent company in another country. The service fee should be commercially supportable and consistent with the applicable transfer pricing rules.
A transfer pricing adviser can help businesses with:
Reviewing related-party transactions.
Assessing intercompany pricing policies.
Selecting appropriate transfer pricing methods.
Preparing transfer pricing documentation.
Reviewing intercompany agreements.
Identifying potential tax risks.
Supporting transfer pricing audits and enquiries.
Reviewing international group structures.
The exact services required depend on the company's activities, transaction types, and applicable documentation obligations.
Not every business needs the same level of transfer pricing support. Before selecting an adviser, companies should assess their requirements and compare providers carefully.
If your business operates in the Netherlands, the adviser should understand Dutch corporate tax rules and transfer pricing requirements.
Dutch businesses must consider the arm's-length principle when dealing with relevant related-party transactions. Certain companies may also have specific local file, master file, and country-by-country reporting obligations depending on applicable thresholds and circumstances.
A firm with Dutch tax experience can help determine which requirements apply to your business rather than recommending unnecessary documentation.
Ask potential advisers about their experience with Dutch BVs, international subsidiaries, and cross-border transactions.
Transfer pricing becomes more complicated when related companies operate in different countries.
For example, a Dutch distributor may purchase products from a manufacturing company in Asia while receiving administrative support from a parent company in the United States.
The pricing arrangements may need to be considered under the tax rules of multiple jurisdictions.
Look for an adviser who understands international tax principles and can identify where different countries' requirements may affect your business.
This is particularly important for multinational groups and companies expanding into European markets.
Transfer pricing documentation helps explain how a company determines prices for related-party transactions.
Depending on the applicable requirements, businesses may need to prepare:
Local file: Information about the local entity and its relevant related-party transactions.
Master file: An overview of the multinational group's global business operations and transfer pricing policies.
Country-by-country report: Certain large multinational groups may have reporting obligations based on applicable consolidated revenue thresholds.
A suitable adviser should explain which documents your business needs, the information required, and how frequently documentation should be reviewed.
Transfer pricing advisers should understand the methods used to evaluate related-party transactions.
Common approaches include:
|
Method |
How it works |
|
Comparable uncontrolled price (CUP) |
Compares a controlled transaction with comparable transactions between independent parties |
|
Resale price method |
Uses the resale price to determine an appropriate gross margin for a distributor |
|
Cost-plus method |
Adds an appropriate markup to relevant costs |
|
Transactional net margin method (TNMM) |
Examines net profit relative to an appropriate financial indicator |
|
Profit split method |
Divides combined profits based on the contributions of related entities |
The most appropriate method depends on the nature of the transaction, available information, and the functions, assets, and risks of the entities involved.
A good adviser should explain why a particular method is appropriate rather than simply applying the same approach to every client.
Different industries use different business models, and their transfer pricing arrangements can vary significantly.
For example:
Manufacturing companies may need to review production costs and intercompany product prices.
Technology businesses may deal with software licences and intellectual property.
Distribution companies may need to assess resale margins.
Service businesses may have management fees and shared service arrangements.
E-commerce companies may deal with cross-border inventory, distribution, and support services.
Choosing an adviser who understands your industry can make the analysis more relevant to your actual operations.
Before engaging a transfer pricing firm, understand what its fees cover.
Some advisers offer fixed-fee documentation projects, while others charge based on time spent or the complexity of the work.
Ask whether the proposal includes:
Initial transaction review.
Transfer pricing policy development.
Benchmarking analysis, where required.
Documentation preparation.
Intercompany agreement review.
Annual updates.
Tax audit assistance.
A clear proposal helps businesses compare providers and avoid unexpected costs.
Transfer pricing arrangements can change when a company introduces new services, enters another market, restructures its operations, or changes its intercompany agreements.
The right adviser should be available to review significant business changes and explain their potential tax implications.
Regular communication is particularly valuable for companies that do not have an internal international tax department.
Before selecting a provider, arrange a discussion about your business structure and existing transactions.
Consider asking:
Do you have experience advising Dutch companies and international groups?
Which transfer pricing documentation services do you provide?
Can you review our existing intercompany agreements?
How do you determine the most appropriate pricing method?
Do you provide support during Dutch tax audits?
How do you handle transactions involving multiple countries?
What information will you need from our accounting and finance teams?
What is included in your fees?
The answers can help you understand whether the firm has the technical knowledge and practical experience required.
International entrepreneurs often establish a Dutch private limited company (BV) when entering the European market.
However, company formation is only one part of the process. Businesses that operate through related entities should also consider how transactions between those companies will be structured and priced.
For example, a foreign parent company may provide funding, management services, technology, or products to its newly established Dutch subsidiary.
These arrangements can create transfer pricing considerations from the beginning.
Companies planning on setting up a bv in netherlands should therefore consider:
Whether the BV will transact with related foreign entities.
How intercompany services will be charged.
Whether the company will receive loans from group entities.
How intellectual property will be used or licensed.
Which entity performs important business functions.
What transfer pricing documentation may be required.
Discussing these matters during the company formation and business planning stages can help establish a more consistent approach to international tax compliance.
Transfer pricing is only one part of managing an international business. Companies operating across borders may also need support with VAT reporting and foreign currency transactions.
Businesses selling goods or services across different European markets may have VAT registration, reporting, and payment responsibilities.
A reliable vat compliance solution can help companies manage VAT returns, transaction records, cross-border reporting, and applicable registration requirements.
VAT compliance should be reviewed separately from transfer pricing because the two areas follow different tax rules.
International businesses frequently receive payments and pay suppliers in different currencies.
Exchange-rate movements can affect transaction costs, cash flow, and the value of outstanding receivables and payables.
Professional business foreign exchange services may help companies manage international payments, currency conversion, and exchange-rate exposure.
Businesses should also ensure that foreign currency transactions are recorded correctly in their accounting records and considered under applicable tax rules.
A low price or attractive proposal does not always mean that an adviser is the right choice.
Businesses should be cautious if a provider:
Promises guaranteed tax savings without reviewing the business.
Recommends identical pricing methods for every transaction.
Cannot explain its benchmarking or documentation approach.
Does not ask about the company's actual business activities.
Ignores the requirements of other countries involved.
Provides unclear fees or an incomplete service scope.
Treats transfer pricing documentation as a one-time task without considering business changes.
A reliable adviser should provide practical recommendations supported by relevant information and applicable regulations.
